Wire Portal Terms of Use

These Terms of Use ("Terms"), together with our Privacy Policy, govern your access and use of the NewsForce Wire Portal (including any Content, Marks, and services contained therein, collectively the "Portal") and, without limitation, any provision, submission, and use of any images, text, videos, and other materials relating to the products or services that you wish to advertise or promote through the Portal and our applicable properties (collectively, "Wire Release(s)"). The Portal is owned and operated by NewsForce AG and/or its subsidiaries or affiliates ("NewsForce", "we", "us", or "our").
In these Terms, "you" or "your" includes any person or entity that accesses or uses the Portal, whether acting for itself or on behalf of any third party. Where applicable, you represent and warrant that you possess all necessary rights, authorizations, and licenses required to access and use the Portal, including any features or content made available therein, on behalf of such third party. For the avoidance of doubt, where you act on behalf of a third party, you shall remain fully liable for all acts and omissions of such third party in connection with the access and use of the Portal to the same extent as for your own acts and omissions.
Unless otherwise agreed in writing, these Terms govern your relationship with us, supersede any prior agreements or presentations and constitute the entire agreement between you and NewsForce in connection with your use of the Portal. By accessing and using the Portal, you are agreeing to these Terms and thus establishing a contractual relationship between you and NewsForce.
PLEASE READ THESE TERMS CAREFULLY BEFORE USING OUR PORTAL. IF YOU DO NOT AGREE TO THESE TERMS, PLEASE DO NOT USE OUR PORTAL OR ANY INFORMATION CONTAINED HEREIN.
Proprietary Rights.
As between NewsForce and you, NewsForce or its licensors own and reserve all rights, title and interests in and to: (i) the Portal, the content therein and all hardware, software and other items used to provide the Portal, including without limitation, any Output, text, documents, articles, descriptions, products, software, graphics, photos, sounds, videos, interactive features, and services, other than the rights explicitly granted to you to use the Portal in accordance with these Terms ("Content"), and (ii) the trademarks, service marks and logos contained therein ("Marks"). "NewsForce", the NewsForce logo, and other marks are Marks of NewsForce or its affiliates. No title to or ownership of any proprietary rights related to the Portal is transferred to you pursuant to these Terms. All rights not explicitly granted to you are reserved by us. In the event that you provide comments, suggestions or recommendations to us in connection with the Portal (including, without limitation, regarding modifications, enhancements, improvements or other changes to the Portal) (collectively, "Feedback"), you hereby grant us a world-wide, royalty-free, irrevocable, perpetual license to use and otherwise incorporate to the Portal any Feedback provided. Content on the Portal is provided to you for your information and personal use only. You may not: (i) remove any copyright, trademark or other proprietary notices from any portion of the Portal; (ii) reproduce, modify, distribute, sell, distribute, use, transmit, display, license, sublicense, download, decompile, or lease any Content and any part of the Portal except as expressly authorized herein, or (iii) reverse engineer or attempt to extract the source code of the Portal. If you download or print a copy of the Content you must retain all copyright and other proprietary notices contained therein.
Further Restrictions.
You shall not: (i) disrupt servers or networks connected to the Portal; (ii) use or launch any automated system (including without limitation, any "robots" and "spiders") to access the Portal, or (iii) circumvent, disable or otherwise interfere with security-related features of the Portal or features that prevent or restrict use or copying of any Content or that enforce limitations on use of the Portal.
Ability to Accept These Terms.
The Portal is only intended for individuals aged eighteen (18) years or older. If you are under eighteen (18) years old, please do not visit or use the Portal.
Information Description.
We attempt to be as accurate as possible. However, WE CANNOT AND DO NOT WARRANT THAT THE CONTENT AVAILABLE ON THE PORTAL IS ACCURATE, COMPLETE, RELIABLE, UP-TO-DATE, OR ERROR-FREE. YOUR USE OF THE PORTAL, CONTENT, OR ANY PART THEREOF, IS MADE SOLELY AT YOUR OWN RISK AND RESPONSIBILITY. We reserve the right to make changes in or to the Portal, Content, or any part thereof, in our sole judgment, without the requirement to give any notice prior to or after making such changes.
Disclosure.
We reserve the right to access, read, preserve, and disclose any information that we obtain in connection with the Portal, and your use thereof, as we reasonably believe is necessary to: (i) satisfy any applicable law, regulation, legal process, subpoena or governmental requests; (ii) enforce the Terms, including, without limitation, to investigate potential violations thereof; (iii) detect, prevent, or otherwise address fraud, security or technical issues; (iv) respond to user support requests, or (v) protect the rights, property or safety of NewsForce, its users or the public.
Links and Content.
The Portal may contain links, content, and services of third parties (collectively, "Third-Party Materials") that are not owned or controlled by us. We are not affiliated with, have no control over, and assume no responsibility for the practices of any third party or Third-Party Materials. You: (i) are solely responsible and liable for your use of any Third-Party Materials, and (ii) expressly release NewsForce from any and all liability arising from your use of any Third-Party Materials. Accordingly, we encourage you to read the terms and conditions and privacy policy of each applicable third-party you may choose to interact with.
You may provide information, content, or any other material to the Portal, including without limitation any advertising materials in connection with Wire Releases you wish to promote (collectively "Input"). Based on such Input, the Portal may generate and return output in form of advertisements, audio-visual content and other information or materials to you and other users of NewsForce ("Output").
As between the parties and to the extent permitted by applicable law, you grant us a worldwide, irrevocable, non-exclusive license to host, copy and use Input and Output as required in order to provide you with the services. We may use Input and Output to develop, improve, train, provide, maintain, develop new products and services, comply with applicable law, defend and enforce our rights or the rights of other users, and enforce our policies. We may also make use of your Input and Output in anonymized form to advertise and/or promote the Portal (including without limitation on social media). For the avoidance of doubt, metadata, usage data and analytics information are owned by us exclusively, are not considered Input or Output and may be processed free by us without limitation under our sole discretion, for any purpose, without notice or consent.
To the maximum extent permitted, you are solely responsible for your Input (whether provided directly by you or on behalf of any third party) and for your use of any Output, including for ensuring that it does not violate any applicable law, these Terms or any third-party rights. You represent and warrant that you own or have all the necessary rights and permissions to provide the Input and use it in the context of the Portal. Further, you agree that you will not upload or provide any Input that: (i) is unfair or deceptive under the consumer protection laws of any jurisdiction; (ii) is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including without limitation any intellectual property, privacy or publicity rights, unless you are the owner of such rights or have the necessary rights from the rightful owners to lawfully use the Input in the context of the Portal; (iii) creates a risk to a person's safety or health, creates a risk to public safety or health, compromises national security, or interferes with an investigation by law enforcement; (iv) impersonates another person; (v) promotes illegal drugs, violates export control laws, relates to illegal gambling, weapons, or illegal arms trafficking; (vi) is unlawful, defamatory, libelous, threatening, bullying, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, gives rise to civil liability, violates any law, or is inappropriate; (vii) involves theft or terrorism, or (viii) is otherwise malicious, illegal, unethical or fraudulent. You further agree not to generate or use Outputs for illegal or unethical purposes or use the Portal in any manner that: (i) creates a risk to a person's safety or health, creates a risk to public safety or health, compromises national security, or interferes with an investigation by law enforcement; (ii) impersonates another person; (iii) promotes illegal drugs, violates export control laws, relates to illegal gambling, weapons, or illegal arms trafficking; (iv) is unlawful, defamatory, libelous, threatening, bullying, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, gives rise to civil liability, violates any law, or is inappropriate; (v) involves theft or terrorism, or (vi) is malicious, illegal, unethical or fraudulent.
We do not warrant or represent that any Input will be published, displayed, or otherwise made available through the Portal. Input may be subject to review or moderation by NewsForce in accordance with its internal standards and content guidelines (the "Content Guidelines"). We may, at our discretion and without obligation, take action with respect to any Input, including without limitation removing, restricting access to, editing, or otherwise modifying such Input, at any time and without prior notice, for any reason or no reason, including where we receive complaints or allegations from third parties or authorities, or where we reasonably believe these Terms may have been breached.
Without limiting the foregoing, where you access or use the Portal on behalf of any third party, NewsForce may request reasonable evidence that you are authorized to act on behalf of such third party. If you fail to provide such evidence promptly upon request, or if NewsForce reasonably believes that you lack such authority, NewsForce may suspend or otherwise terminate your use of the Portal, immediately and without notice or liability, at its sole discretion.
The Portal makes use of advanced technologies, including artificial intelligence. You acknowledge and understand that, due to the nature of machine learning and generative artificial intelligence, Output may not be accurate, complete or unique across users and the Portal may generate the same or similar output for NewsForce or a third party. Other users may provide Input and receive the same or substantially similar Output. GIVEN THE PROBABILISTIC NATURE OF MACHINE LEARNING, USE OF OUR PORTAL MAY IN SOME SITUATIONS RESULT IN OUTPUT THAT DOES NOT ACCURATELY REFLECT REAL PEOPLE, PLACES, OR FACTS OR ACHIEVE THE DESIRED GOAL OR PURPOSE. YOU MUST EVALUATE THE ACCURACY, LAWFULNESS, FITNESS FOR A PARTICULAR PURPOSE, QUALITY, SAFETY, MERCHANTABILITY, AND ANY OTHER ASPECT REGARDING THE OUTPUT AS APPROPRIATE FOR YOUR USE CASE, INCLUDING BY USING HUMAN REVIEW OF THE OUTPUT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEWSFORCE SHALL NOT BE RESPONSIBLE OR HELD LIABLE IN ANY MANNER AND UNDER ANY CIRCUMSTANCES FOR THE OUTPUT, THE USE OF THE OUTPUT OR YOUR RELIANCE ON THE OUTPUT.
Account Security and Responsibilities.
Access to and creation of an account for the Portal is free of charge. If you access the Portal via a password, you are solely responsible for maintaining its confidentiality. You must promptly notify us of any changes to the information provided therein, including without limitation your billing address or email address. Only one person may access the Portal at a time using a single set of login credentials unless otherwise agreed in writing.
Payment, Cancellations, and Refunds.
Fees are charged in connection with the purchase of a Wire Release to be displayed on our services. Additional fees may apply, including without limitation for your re-airing a previously aired Wire Release and/or for posting your Wire Release on our social media accounts. Prices will be charged in the local currency applicable to you. NewsForce agrees to bear reasonable currency conversion fees occurring as a result of your payment, but reserves the right to charge you any fee (including but not limited to such currency conversion fees) that NewForce deems to be excessive at its sole reasonable discretion. Prices may be subject to applicable taxes, levies, or similar governmental charges, where required by law. To purchase a Wire Release, you must create an account and provide a valid payment method. Payment is due at the time of purchase.
We use Stripe LLC as our third-party payment processor to handle all transactions. Your use of Stripe LLC is subject to its legal terms and privacy policies, which we encourage you to review.
Cancellations and refunds are subject to the following terms:
Additional refunds may be issued, subject to NewsForce's sole discretion, for Wire Releases rejected due to the violation of our Content Guidelines. To the fullest extent permitted under applicable law, all other payments are non-cancellable and non-refundable.
Copyright Policy. We take the protection of intellectual property rights seriously. Consistent with Section 512(c) of the US Digital Millennium Copyright Act ("DMCA"), we maintain a policy of responding to valid notices of alleged copyright infringement by removing or disabling access to the identified material. Where appropriate and at our sole discretion, we may also suspend or terminate the accounts of users who are determined to be repeat infringers.
If you believe that material made available through the Portal infringes a copyright that you own or control, you may submit a written notification of claimed infringement that includes the following information:
Notices of claimed copyright infringement should be submitted email to: legal@newsforce.com.
If you believe that any Input you have submitted was removed or disabled as a result of mistake or misidentification, you may submit a counter-notification in accordance with Sections 512(g)(2) and 512(g)(3) of the DMCA. Upon receipt of a valid counter-notification, we may, at our discretion, restore the affected content unless we receive notice that the original complaining party has initiated legal proceedings. Please note that any person who knowingly makes material misrepresentations in a notification or counter-notification may be liable for damages under applicable law.
Privacy.

No Warranties.
THE PORTAL AND THE CONTENT ARE PROVIDED "AS IS", "WITH ALL FAULTS", AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEWSFORCE MAKES NO, AND SPECIFICALLY DISCLAIMS ALL, REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY WARRANTY THAT THE PORTAL, ANY OUTPUT, AND CONTENT WILL BE ERROR-FREE OR FREE OF HARMFUL COMPONENTS OR ANY IMPLIED WARRANTY OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, AND ANY WARRANTY ARISING OUT OF ANY COURSE OF PERFORMANCE, COURSE OF DEALING OR USAGE OF TRADE; AND THAT THE INPUT YOU PROVIDE WILL BE SECURE OR NOT OTHERWISE LOST OR DAMAGED.
WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, ANY WIRE RELEASES GENERATED WITH RESPECT TO ADVERTISEMENTS PLACED ON YOUR BEHALF MAY APPEAR IN CONNECTION WITH, OR ADJACENT TO, JOURNALISTIC OR SIMILAR CONTENT WHICH, BY ITS NATURE, MAY INCLUDE MATERIAL THAT YOU OR OTHER USERS MAY FIND INAPPROPRIATE, INCLUDING, WITHOUT LIMITATION, VIOLENT, SEXUALLY EXPLICIT, OR OTHERWISE OFFENSIVE CONTENT. YOUR USE OF THE PORTAL IN CONNECTION WITH ANY SUCH OUTPUT IS AT YOUR SOLE RISK.
Limitation of Liability.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL NEWSFORCE, ITS OFFICERS, EMPLOYEES, AGENTS OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST DATA, PROFITS OR REVENUE), HOWEVER CAUSED, UNDER ANY THEORY OF LIABILITY, INCLUDING, WITHOUT LIMITATION, CONTRACT, TORT, WARRANTY, NEGLIGENCE OR OTHERWISE, EVEN IF NEWSFORCE HAS BEEN ADVISED AS TO THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF NEWSFORCE, ITS OFFICERS, EMPLOYEES, AGENTS OR SUPPLIERS, RELATING TO THE PORTAL UNDER ANY THEORY OF LIABILITY, INCLUDING, WITHOUT LIMITATION, CONTRACT, TORT, OR WARRANTY, WILL BE LIMITED TO ONE HUNDRED (100) USD. THE LIMITATIONS AND EXCLUSIONS APPLY REGARDLESS OF WHETHER THIS REMEDY DOES NOT FULLY COMPENSATE YOU FOR ANY LOSSES OR FAILS OF ITS ESSENTIAL PURPOSE. YOU AGREE THAT ANY CAUSE OF ACTION THAT YOU MAY HAVE ARISING OUT OF OR RELATED TO THE PORTAL MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION HAS ACCRUED. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.
Indemnification.
You will defend, indemnify and hold NewsForce, its officers, employees, agents or suppliers harmless from any and all claims, demands, losses, liabilities and expenses (including costs and attorneys' fees) made by any third party due to or arising out of (i) your Input and any use of the Portal; (ii) your violation of these Terms, or (iii) your violation of any applicable law or the rights of any third party including without limitation any copyright, property, publicity or privacy right. NewsForce reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify NewsForce, and you agree to cooperate with our defense of such claims. You agree not to settle any such claim without NewsForce's prior written consent. We will use reasonable efforts to notify you of any such claim or demand that is subject to your indemnification obligation. The foregoing indemnification undertakings will survive any termination of these Terms or termination of your use of the Portal.
Term and Termination.
These Terms are effective until terminated by NewsForce. NewsForce, in its sole discretion, has the right to terminate these Terms and your access to the Portal, or any part thereof, immediately at any time and with or without cause (including, without any limitation, for a breach of these Terms). NewsForce shall not be liable to you or any third party for termination of your access to the Portal, or any part thereof. If you object to any term or condition of these Terms, or any subsequent modifications thereto, or become dissatisfied with the Portal in any way, your only recourse is to immediately discontinue use of the Portal. Upon termination of these Terms, you shall cease all use of the Portal. Any section which by its nature is intended to apply following the expiration or termination of these Terms, shall survive termination or expiration of these Terms.
Governing Law.
These Terms shall be governed and construed in accordance with the laws of Switzerland, without giving effect to any conflict or choice of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Zurich, Switzerland with respect to these Terms or your use of the Portal, and hereby waive any claim relating to jurisdiction, venue, or inconvenient forum. Where applicable and permitted by law, you further expressly waive your right to a jury trial. Notwithstanding the above, NewsForce may seek injunctive relief to preserve its rights against any violation of these Terms, in any competent jurisdiction.
Waiver & Severability.
If any provision of these Terms is held to be invalid, illegal or unenforceable for any reason by a court of competent jurisdiction, the provision shall be modified to the extent necessary to make it enforceable while, to the maximum extent possible, reflecting the intent of the parties, and, in any event, shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and a party's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. Without derogating from the foregoing, you hereby waive any applicable rights to require an original (non-electronic) signature or delivery or retention of non-electronic records, to the extent not prohibited under applicable law.
Assignment & Transfer.
We may assign, transfer or otherwise dispose of our rights and obligations under these Terms, in whole or in part, at any time without notice. You may not assign this contract or transfer any rights to use the Portal without our written permission.
Changes to These Terms.
We may, at our discretion, change, revise or modify these Terms from time to time, and any such revision or modification shall take effect upon the posting of the modified or revised Terms. You are solely responsible for checking the Terms for updates or changes, and we recommend you do so on an ongoing basis to ensure that you agree with any updated terms. You can easily discern if any changes have been made in the Terms by checking the "Last Updated" date at the top of the Terms. Your continued use of our Portal following the posting of changes to this Terms or receipt of notice, whichever occurs first, means that you accept those changes. If you do not agree with our changes to the Terms, you may not continue to access and use our Portal.
Controlling Version.
These Terms have been drafted in the English language, which is the original and controlling version of these Terms. All translations of these Terms into other languages shall be solely for convenience and shall not control the meaning or application of these Terms. In the event of any discrepancy between the meanings of any translated versions of these Terms and the English language version, the meaning of the English language version shall prevail.
